Specific Terms and Conditions for LINE Event Official Account Co-Marketing Campaign

Article 1. Definitions

Capitalized terms defined in the General Terms and Conditions of LINE Service Master Agreement or Indirect Purchase of LINE Service Agreement shall, unless otherwise defined herein, have the same meanings when used in these Specific Terms and Condition, and in addition:

(1) “Advertisement Material” shall mean any form of advertisement material which design has been agreed by PT LINE Plus Indonesia and the Partner and/or Agency for the purpose of implementing the Co-Marketing Campaign.

(2) "Agency" shall mean an advertising agency who will purchase or has purchased the relevant LINE Services from LINE for a Partner by signing the Insertion Order(s) with LINE as service provider.

(3) “Co-Marketing Campaign” shall mean marketing campaign activities held together by PT LINE Plus Indonesia and Partner to promote certain campaign of products and/or services using, among other, LINE Event Official Account.

(4) “LINE” shall mean PT LINE Plus Indonesia and/or its affiliate according to the context.

(5) “LINE Event Official Account” shall mean an internal marketing asset of PT LINE Plus Indonesia in a form of an Official Account operated by PT LINE Plus Indonesia.

(6) “Official Account” shall mean the designated user account that Partner may utilize to communicate with Users including but not limited to transmitting advertisement material  on LINE platform.

(7) “Partner” shall mean (i) a client who will purchase or has purchased the relevant LINE Service(s) (by signing an Insertion Order, whereby Partner may also be referred to as “Advertiser” in the relevant Insertion Order.

(8) “Performance Report” shall be the report generated by PT LINE Plus Indonesia as referred to in Article 3 paragraph 3 below.

Article 2. Partnership; Responsibilities; Obligations of the Parties 

A. LINE Responsibilities and Obligations: 

1. Operate the LINE Event Official Account for the purpose of implementing the Co- Marketing Campaign;

2. Provide Advertisement Service Guidelines and and design guidelines which will be provided separately  to the Partner and/or Agency to be used as referenced in preparing Advertisement Material;

3. Provide review, suggestion and/or comments to the Advertisement Material prepared or developed by Partner and/or Agency;

4. Blast the Advertisement Material using the LINE Event Official Account dashboard on the agreed date and time;

5. Monitor the performance of Advertisement Material after being blasted in LINE Event Official Account; and

6. Generate the report on the performance of Advertisement Material blasted in the LINE Event Official Account.

B. Partner Responsibilities and Obligations: 

1. Prepare the Advertisement Material by following the LINE Ads Platform Ad-Campaign Guidelines provided by PT LINE Plus Indonesia;

2. Cooperate with PT LINE Plus Indonesia in perfecting the design of the Advertisement Material based on PT LINE Plus Indonesia comments and suggestion;

3. Represent and warrant that Partner has ownership of intellectual property rights to all Advertisement Material Contents provided by Partner to PT LINE Plus Indonesia to be blasted on LINE Event Official Account;

4. Acknowledge that PT LINE Plus Indonesia as a sole operator of LINE Event Official Account;

5. Provide PT LINE Plus Indonesia all necessary license to blast/post, use, and display the Advertisement Material to implement the Co-Marketing Campaign; and

6. Comply with all other relevant laws and regulation on advertisements applicable in Indonesia.

C. Agency Responsibilities and Obligations

1. Act for and on behalf of the Partner in relation to the implementation of Co-Marketing Campaign;

2. Ensure that the Partner will receive Advertisement Services Guidelines and design guideline  provided by PT LINE Plus Indonesia;

3. Cooperate with PT LINE Plus Indonesia and the Partner in perfecting the design of the Advertisement Material based on PT LINE Plus Indonesia comments and suggestions;

4. Ensure that the Partner has ownership of intellectual property rights to all Advertisement Material Contents provided by Partner to PT LINE Plus Indonesia to be blasted on LINE Event Official Account; and

5. Comply with all other relevant laws and regulation on advertisements applicable in Indonesia.

Article 3. Disclaimer 

1. Co-Marketing Campaign using LINE Event Official Account is a services provided by PT LINE Plus Indonesia which may be performed together and/or conjunction with its affiliate;

2. PT LINE Plus Indonesia will be the sole party who will have access to the operation of LINE Event Official Account;

3. Report that will be generated by PT LINE Plus Indonesia for the Partner (the “Performance Report”) may have discrepancies due to different method used by parties in calculating, among other but not limited to, click counts and impressions;

4. Any Performance Report related to the performance of Partner’s Advertisement Material  will be treated as confidential information by the relevant Partner and/or Agency as referred to the relevant agreement between PT LINE Plus Indonesia and relevant Partner and/or Agency. Both the relevant Partner and/or the Agency are strongly prohibited to share the Performance Report to other parties and use such Performance Report for any other purpose than the Co-Marketing Campaign purposes.
